The Terms and Conditions of the pcvive.com website consists of several parts. Any use of the website constitutes an agreement between you and Jyvin Company to all parts

PC Vive Affiliate Program Terms and Conditions

To be an authorized affiliate of www.pcvive.com, you agree to abide by the terms and conditions contained in this agreement.

This Affiliate Program agreement is a legal agreement for participation in PC Vive affiliates program (’’program’’).

By registering for and participating in the program, you agree to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, do not register for or participate in the program. If you do not agree to and accept the terms of this agreement in its entirety and you are already a PC Vive affiliate, immediately terminate all uses of PC Vive’s marks and any links to PC Vive’s Web site(s). As used in this agreement ’’we’’ or ’’merchant’’ means Jyvin Company and ’’you’’, ’’affiliate’’ or ’’partner’’ means the participating Web affiliate.

BACKGROUND

Partner and Merchant each desire to establish the general terms and conditions which shall govern advertising and commission arrangements between Partner and Merchant.

TERMS AND CONDITIONS

First and foremost, all participants must be 18 years or older, or of legal age (according to the laws of their residing territory) to participate in an affiliate program where compensation may be proportioned.

In consideration of the promises set forth below, we agree as follows:

1. Offers and Engagements.

1.1. From time to time, Merchant may post offers to pay to other participants a specified commission in return for certain advertising services leading to a Qualifying Link (defined below). If such offers receive an identification number, they shall be deemed to be an ’’Offer’’ for purposes of this Agreement. The term ’’Offer’’ shall also include any counter-offers resulting from an Offer.

1.2. If an Offer made by one party is accepted by the other party in accordance with the Offer’s terms, an ’’Engagement’’ will have been formed. Each Engagement shall have the same identification number as the original Offer that lead to the Engagement and shall be governed by the terms and conditions of this Agreement. However, in the event of any inconsistency between the terms of the specific Engagement and the terms of this Agreement, the terms of the Engagement shall govern.

1.3. At any time prior to Partner providing a Qualifying Link, Merchant may with or without notice (a) change, suspend or discontinue any aspect of an Offer or an Engagement or (b) remove, alter, or modify any graphic or banner ad submitted by Merchant for an Offer or an Engagement. Partner agrees to promptly implement any request from Merchant to remove, alter or modify any graphic or banner ad submitted by Merchant that is being used by Partner as part of an Engagement.

2. Partner’s Responsibilities.

2.1. Partner will link its site to areas within Merchant’s site using special URLs specified in the Engagement (the ’’Required URLs’’). Partner may post as many links to the Required URLs and the rest of Merchant’s site as it likes on Partner’s site. The position, prominence and nature of links on the Partner’s site shall comply with any requirements specified in the Engagement, but otherwise will be in the discretion of Partner.

2.2. Partner agrees not to make any representations, warranties or other statements concerning Merchant, Merchant’s site, any of Merchant’s products or services, or Merchant’s site policies, except as expressly authorized by the Engagement.

2.3. Partner is responsible for notifying Merchant of any malfunctioning of the Required URLs or other problems with Partner’s participation in the Engagement. Merchant will respond promptly to all concerns upon notification by Partner.

3. Commissions.

3.1. Merchant agrees to pay Partner the commission specified in the Engagement if Merchant sells to a visitor to Merchant’s site (a ’’Customer’’) a product or service that is the subject of the Engagement and if that Customer has accessed Merchant’s site and purchased the product or service via a Qualifying Link.

3.2. A ’’Qualifying Link’’ is a link from Partner’s site to Merchant’s using one of the Required URLs or any other URL provided by Merchant if it is the last link to the Merchant’s site that the Customer uses during a Session where a sale of a product or a service to Customer occurs. A ’’Session’’ is the period of time beginning from a Customer’s initial contact with Merchant’s site via a link from the Partner’s site and terminating when the Customer either returns to the Merchant’s site via a link from a site other than Partner’s site or the Engagement expires or is terminated.

3.3. Merchant shall have the sole right and responsibility for processing all orders made by Customers. Partner acknowledges that all agreements relating to sales to Customers shall be between Merchant and the Customer.

3.4. All determinations of Qualifying Links and whether a commission is payable will be made by Merchant. Prices for the products will be set solely by Merchant in its discretion.

4. Ownership and Licenses.

4.1. Each party owns and shall retain all right, title and interest in its names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology, including, without limitation, those names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology currently used or which may be developed and/or used by it in the future.

4.2. Merchant grants Partner a revocable, non-exclusive, worldwide license to use, reproduce and transmit the name, logos, trademarks, service marks, trade dress and proprietary technology, as designated in the Engagement or during the registration process on Partner’s site solely for the purpose of creating links from Partner’s site to Merchant’s site during Engagements. Except as expressly set forth in this Agreement or permitted by applicable law, Partner may not copy, distribute, modify, reverse engineer, or create derivative works from the same. Partner may not sublicense, assign or transfer any such licenses for the use of the same, and any attempt at such sublicense, assignment or transfer is void.

4.3. Partner grants Merchant a non-exclusive, worldwide, royalty-free license to use, reproduce and transmit any graphic or banner ad submitted by Partner solely for co-branding purposes or as a return link from Merchant’s site to Partner’s site. Merchant will remove such graphic or banner ad upon PartnerTo be an authorized affiliate of www.pcvive.com, you agree to abide by the terms and conditions contained in this agreement.

5. Termination.

5.1. Either party may terminate any Engagement at any time by deleting their acceptance of the Engagement by email to Merchant. Termination of an Engagement shall not terminate this Agreement or any other Engagement.

5.2. Either party may terminate this Agreement at any time, for any reason, provided that they provide at least five day’s prior written notice of such termination to the other party. Termination of this Agreement shall also terminate any outstanding Engagements. However, all rights to payment, causes of action and any provisions which by their terms are intended to survive termination, shall survive termination of this Agreement.

6. Representations.

6.1. Each party represents to the other that (a) it has the authority to enter into this Agreement and sufficient rights to grant any licenses granted hereby, and (b) any material which is provided to the other party and displayed on the other party’s site will not (i) infringe on any third party’s copyright, patent, trademark, trade secret or other proprietary rights or right of publicity or privacy; (ii) violate any applicable law, statute, ordinance or regulation; (iii) be defamatory or libelous; (iv) be lewd, pornographic or obscene; (v) violate any laws regarding unfair competition, antidiscrimination or false advertising; (vi) promote violence or contain hate speech; or (vii) contain viruses, trojan horses, worms, time bombs, cancelbots or other similar harmful or deleterious programming routines.

6.2. Except for the above representations neither party makes any representations or warranties to the other party, including, but not limited to, any implied warranties of merchantability or fitness for a particular purpose.

7. Cross-Indemnification.

7.1. Each party hereby agrees to indemnify, defend and hold harmless the other party and its affiliates, directors, officers, employees and agents, from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys’ fees) brought by a third party, arising out of a breach, or alleged breach, of any of its representations or obligations herein.

8. Limitation of Liability.

8.1. In no event shall either party be liable to the other party for any direct, indirect, special, exemplary, consequential or incidental damages, even if informed of the possibility of such damages.

9. General.

9.1. Each party shall act as an independent contractor and shall have no authority to obligate or bind the other in any respect.

9.2. This Agreement has been made in and shall be construed and enforced in accordance with the laws of the state of Merchant’s headquarters. Any action to enforce this Agreement shall be brought in the federal or state courts located in that state. If you need to send official correspondence, send it via registered mail to Merchant’s headquarters to the attention of Merchant’s legal department.

9.3. This Agreement may be agreed to in more than one counterpart, each of which together shall form one and the same instrument. The parties agree that execution may be achieved in any format convenient to the parties.

9.4. The provisions of this Agreement are independent of and separable from each other, and no provision shall be affected or rendered invalid or unenforceable by virtue of the fact that for any reason any other or others of them may be invalid or unenforceable in whole or in part.

Shipping & Returns

At Jyvin Company, we strive to provide our customers with the highest quality service and support. We have provided our shipping and return policy below. Should you have any questions please feel free to contact our offices.

Shipping Policy

• Most orders placed before 3pm EST will ship same business day.
• If the order is unable to be processed and shipped the same day and is listed as "In Stock" the order will be shipped within 24 hours from time of order.
• All orders placed on Friday will be shipped Monday or the next business day if a holiday is the next day.
• Any orders paid by check or money order will ship at the time payment is received.
• Customer has 3 business days to report any missing or damaged parts from date of receiving any merchandise.
• Shipping Time is calculated in BUSINESS DAYS, and does not include Saturdays, Sundays, and/or USPS/UPS shipping holidays.
• Jyvin Company reserves the right to refuse any order for any reason.

Damaged/Lost/Delayed Shipments

Jyvin Company is not responsible for items that may be damaged, or lost by the shipping company, or "carrier" (USPS, UPS, etc.). All shipments are fully insured with the respective carrier. All products and packaging should be carefully inspected upon receipt and any damage should be brought to the carrier's attention. If necessary, purchaser should alert the carrier and Jyvin Company that a claim needs to be filed for that shipment. Once a claim is approved and processed by the carrier, our shipping department will then ship out a replacement or refund the purchase price. Jyvin Company has no control over the timeliness of the shipments and cannot be held responsible for any delays caused by the carrier. If necessary, Jyvin Company will aid in the filing of an appropriate claim with the carrier in the event of loss, damage, or shipping delay.

Non Defective Returns

All non defective equipment can be returned for full credit of the merchandise within 30 days of purchase. The following guidelines must be met for consideration of return:
• Must contact our offices within 30 Days of date of purchase. We do not accept returns after 30 days. No exceptions unless authorized before purchase.
• Must have a valid Return Authorization Number. To get a Return Authorization Number please contact us by submitting a helpdesk ticket.
• All returns must be post marked within 5 business days from the issue date of the Return Authorization Number. Packages not post marked within 5 business days of issue date of the Return Authorization Number may be rejected by the returns department.
• Equipment must not be altered or tampered with in attempts to modify circuitry.

Credits will be posted to the appropriate account within 14 business days of receipt of equipment. Packages should be mailed to the address below with the Return Authorization on the outside of the box.

Defective Equipment

Any goods which prove to be defective within 30 days of delivery may be exchanged for a replacement of the same model. After 30 days all equipment warranty is only valid through the manufacturer only. The following guidelines must be met for consideration of return:
• Contact our offices within 30 Days for a return authorization number by submiting a helpdesk ticket. No returned merchandise will be accepted without a valid return authorization number on the shipping label.
• All defective returns must be post marked within 5 business days from the issue date of the Return Authorization Number. Packages not post marked within 5 business days of issue date of the Return Authorization Number may be rejected by the returns department.
• Merchandise initially returned as defective, whose defect cannot be verified, will incur a freight charge for replacement shipment.
• If merchandise returned as defective proves to not be defective a representative will contact the customer to either send the unit back to the customer or restock the item. Any return shipping charges paid by Jyvin Company for equipment that proves to not be defective will be deducted from the amount credited to the customer account for the return.

* Please note that customer has 3 business days to report any missing or damaged parts from date of delivery. All defective reshipments will be sent USPS Priority or International equivalent. Customers can upgrade the defective reshipment at their cost upon request. A hold will be placed on the purchasers credit card for the amount of the replacement part. Once the returned equipment is received by our warehouse the hold will be released.

Properly returned defective merchandise will be replaced without a charge as long as all parts, accessories, and manuals are returned in proper fashion. Any merchandise that arrives damaged requires special attention. In the event this occurs, please contact us immediately.

We welcome you to participate in the PC Vive Forums, however as with all social communities there are a few rules you must abide by in order to maintain your active membership within these message boards.

We are trying to provide the highest quality community experience for all of our members and following these guidelines is the best way to maintain a quality environment for all age groups. If we find that you break any of these rules, your account may be disabled and your posting privileges removed. These rules are very basic and we hope that you read them fully. No Graphic Material of either a macabre or pornographic nature.
Any posts or links to such content will not be tolerated.
No Warez (links) & Cracks.
Help, requests or posts that discuss circumvention. This includes linking to illegally obtained software, movies & music files - posting about it, and suggesting obtaining it.
No Cursing or Swear words.
We encourage you to use our Communities as a forum to debate topics or a support nature, but please use proper adjectives to express yourself. We do not tolerate circumvention of our word filter or abuse upon another member.
No Racism, Threatening, Personal Attacks, No (citing) Victimization or Hateful posts / Retaliation of any kind against a user, or group of users.
If you are a long standing member, act like one; lead by example and assist other newer users rather than attacking them. We look upon our veteran users to use this opportunity to teach the newer users the appropriate way to conduct themselves in this community.
No Flaming, Personal attacks such as flaming, instigating "flame bait", verbal abuse or mocking of members in forum posts are not tolerated at Jyvin Company. Such posts will be deleted on sight and moderated accordingly.

Posts in a particular forum need to stay on topic.
If you want to talk about something that is drastically removed from the topic of a forum, please take it to General Discussion. General Discussion was set up and designed for members to discuss issues not related to a specific forum section. We welcome most general conversation in the General Discussion, but discourage it from other forums. Use a title that describes the content of your post. Don't use all caps or special characters to draw attention.
Unacceptable Forum or News comments.
While some members feel that post count is important, there are some posts that we feel do not contribute to the community in any way what-so-ever. Observe, because these are examples of unacceptable posts. If you wish to direct a fellow member to something that has already been posted, please do so in a courteous manner.
- "old news" or anything similar
- "first post" or anything similar
- "(insert product or brand) sucks" or anything similar
- "I posted this at some other site X days ago!!!" or anything similar
No Avatar & Custom Title Abuse.
These are a luxury and abuse of them will result in them being lost and your account being restricted. Our Avatar guidelines are 80x80 and 40Kb max. Sig Guidelines are 300 characters or less on 3 lines or less.
The PC Vive Forum is not a support forum for unrelated sites.
Comparing, judging the content/value or raising the opinion of other sites, recruiting members or staff, bad mouthing (or victimizing) & negative discussion about non-affiliated sites on our forums is neither wanted nor tolerated.
No spamming, Ever!
Spamming is characterized by the initiation of threads or posts that contribute nothing to a forum, be it off topic or on topic. Examples include: empty bodies, bodies with few words that have no relation to the current thread or discussion and those posts that state they are spam, either to annoy, advertise or increase a member's post count. Resurrecting old forum posts is also not appreciated unless it serves a worthy cause to the forum. This determination is made by the forum Moderator or Administrator and is not up for discussion. Forum sigs are to be used respectfully, you may link to other sites but keep in mind that advertising in your sig is not allowed.
Jyvin Company also enforces forum specific rules, the "PC Vive Website Terms of Service Rules" apply in conjunction with any forum specific rules.
Jyvin Company requires that members respect the decision of moderators.
Threads and posts questioning the actions or decisions of forum moderations will be deleted on sight, and the appropriate action taken (up to and including forum bans) against the thread starter and/or participants. However, as a member you reserve the right to PM any moderator or administrator regarding action taken at Jyvin Company. * Reporting System: Do not abuse the report system, while we appreciate members reporting bad behavior, we don't appreciate rude comments or your opinion on how 'quick' staff are at handling problems around here.
No alternate accounts are allowed.
Should you be disciplined with a restriction or ban, you are not allowed to open a new account to obtain freedom to post. Restrictions and bans are given for a reason, and usurping that ability by re-registering is not tolerated. If another account is opened, that account will be banned immediately, and the original account will be further penalized. Anyone who has warnings on their account is automatically excluded from changing their user name.
Jyvin Company reserves the right to change or alter these rules at any time and an Administrator's word is final.

Note: Any infraction of these guidelines will result in a warning placed against your PC Vive account (including the affiliate account) and will be added to your overall warning level.
